Terms & Conditions of Sale

HISH82 RESOURCES – Malaysia

These Terms & Conditions govern all sales of products by HISH82 RESOURCES (“Seller”) to the purchaser (“Buyer”). Placement of an order constitutes acceptance of these Terms unless otherwise agreed in writing.

1. Quotations & Orders

    • Quotations are valid for 30 days unless otherwise stated.

    • Orders are subject to written acceptance by the Seller.

    • Any modification or cancellation must be agreed in writing.

2. Pricing

    • Prices are in US Dollars unless otherwise specified.

    • Prices exclude taxes, duties, delivery, and applicable charges unless stated.

    • Seller reserves the right to adjust pricing prior to order confirmation due to market or regulatory changes.

3. Payment Terms

    • Payment terms are as stated in the quotation or invoice.

    • Overdue payments may result in interest charges, suspension of deliveries, or cancellation of outstanding orders.

    • Buyer shall not withhold or set off payments without written agreement.

4. Delivery & Risk

    • Delivery terms (e.g., EXW, FOB, CIF, DDP) shall be as specified in the quotation or invoice.

    • Delivery dates are estimates and not guaranteed.

    • Risk transfers to Buyer in accordance with the agreed delivery terms.

5. Inspection & Claims

    • Buyer must inspect goods upon receipt.

    • Claims for damage, shortage, or non-conformity must be submitted in writing within 24 hours of delivery.

    • Failure to notify constitutes acceptance of goods.

6. Returns

    • All sales are final unless approved in writing.

    • Returns are subject to Seller’s Return & Refund Policy.

    • Opened, used, or improperly stored chemical products are non-returnable.

7. Product Use & Compliance

    • Buyer is responsible for ensuring product suitability for intended use.

    • Products must be handled, stored, and used in accordance with applicable laws and Safety Data Sheets (SDS).

    • Seller is not liable for misuse or improper handling after delivery.

8. Warranty

Seller warrants that products conform to agreed specifications at time of delivery.
No other warranties, express or implied, including fitness for a particular purpose, are provided.

9. Limitation of Liability

Seller shall not be liable for indirect, incidental, or consequential damages, including loss of profit or production.
Total liability shall not exceed the value of the goods supplied under the relevant invoice.

10. Force Majeure

Seller shall not be liable for delay or failure caused by events beyond reasonable control, including natural disasters, government actions, transport disruptions, or supply chain interruptions.

11. Governing Law

These Terms are governed by the laws of Malaysia.
Disputes shall be subject to the jurisdiction of the courts of Malaysia.
